The objectives of the Marlburian Club, as laid down in the rules are:

  • The promotion of friendly relations between Old Marlburians
  • The organisation of games, sports and societies for Old Marlburians
  • The assistance by pecuniary aid or otherwise of necessitous Old Marlburians and their families and such other purposes in the interest and in the memory of Old Marlburians as the Committee may think proper
  • Generally the furtherance of the interest and prosperity of Marlborough College, its past and present members and to do all possible to ensure the continued existence of the College.

CLUB RULES

(Revised 1998)

  1. The name of the Club shall be "The Marlburian Club".

  2. The objects of the Club are :

    1. The promotion of friendly relations between Old Marlburians.
    2. The organisation of games, sports and societies (in these Rules called games) for Old Marlburians.
    3. The assistance by pecuniary aid or otherwise of necessitous Old Marlburians and their families, and such other purposes in the interests and in the memory of Old Marlburians as the Committee may think proper.
    4. Generally the furtherance of the interests and prosperity of Marlborough College and its past and present members, and to do all possible to ensure the continued existence of the College.

  3. Election to the Club

    1. On condition that the Life Subscription, as provided for in these Rules, shall have been paid under the School Scheme, any pupil:

      1. who has completed the upper sixth form year shall be entitled to be enrolled as a candidate for election within six months of leaving the College.

      2. Or

      3. who left the College before the completion of a year in the Upper Sixth form, shall be entitled to be enrolled as a candidate for election within six months of such date as the Upper Sixth form year would have been completed, had the pupil remained at the College.

    2. Enrolment will be recorded by the Secretary and any pupil who is entitled to be enrolled under sub-paragraph 1(a) or 1(b) shall, normally, be, thereafter, elected at the next meeting of the Committee.

    3. Any pupil who has completed the Upper Sixth form year but who has not paid the Life Subscription under the School Scheme may, on payment of a lump sum subscription, become a candidate for election within six months of leaving the College.

    4. Any pupil who has not completed a year in the Upper Sixth form and who has not paid the Life Subscription under the School Scheme may, on payment of a lump sum subscription, become a candidate for election within six months of such date as the Upper Sixth form year would have been completed, had the pupil remained at the College.

    5. The enrolment of any candidate for election under sub-paragraph (iii) or (iv) shall be recorded by the Secretary and such candidate shall normally be, thereafter, elected at the next meeting of the Committee.

    6. Any Old Marlburian who was not enrolled under the preceding sub-paragraphs may apply for membership of the Club upon written application, signed by the applicant, and supported by a Proposer and a Seconder, both of whom shall be Old Marlburians. Such application shall be considered by the Committee within six months of the receipt of the application by the Secretary. If the Committee elects the candidate, it shall be a condition that the Life Subscription shall be paid within one month, such subscription may be reduced by £1 for every year after leaving the College.

    7. The Committee may refuse or defer the election of a candidate whom the Committee deem to be unsuitable. If any candidate is not elected, any Subscription that shall have been paid by any person shall be refunded to that person.

    8. The Master may recommend to the Committee that a pupil shall not be elected to the Club and the reasons shall be submitted in writing. If the Committee decides not to elect such a pupil, the School Scheme Subscription shall be refunded to the parents. If the pupil is elected at a later date, the lump sum Subscription shall become payable.

    9. Any Member of Common Room of five years standing and who is not an Old Marlburian shall be eligible for membership of the Club. On application to the Secretary, he or she may be enrolled as a candidate. If elected by the Committee the Common Room Life Subscription shall become payable.

    10. Any person who has been elected to the Club and paid the Life Subscription shall be deemed to have accepted the Rules of the Club.

  4. The Life Subscription of the Marlburian Club shall be paid :

    1. by nine termly instalments on the school bill under the "School Scheme" (or by six termly instalments in the case of Sixth Form entries)

    2. OR

    3. in one lump sum (a reduced sum being paid by members of Common Room elected under Rule 3).

  5. Subscription rates shall be those for the time being in force, as proposed by the Committee and confirmed at the A.G.M.; any revision considered necessary from time to time by the Committee to be presented to the next A.G.M. for approval.

    1. All membership subscriptions shall be credited to the Capital Account.

    2. There shall be transferred each year from Capital Account to Income and Expenditure Account such sum as is required to eliminate any deficit on the latter account. Conversely any surplus on Income and Expenditure Account shall be transferred each year to Capital Account.

    3. The current or financial year shall be taken to commence on every first of April and terminate on every 31st March.

  6. Honorary Members of the Club

    1. The Master of Marlborough College and all past Masters shall be honorary members of the Club.

    2. All Members of Council, who are not Old Marlburians, will be honorary members of the Club while they are on the Council.

    3. The Committee may invite any person to be an honorary member of the Club who, in the opinion of the Committee, has rendered conspicuous service to Marlborough College or the Club.

    4. An honorary member shall not be required to pay any subscription but, in all other respects, shall be deemed to be a member of the Club and the Rules shall apply to such person.

  7. Every Member shall, from time to time, communicate his address to the Secretary, and all notices delivered or sent by post to such an address shall be deemed to have been sufficiently served or given.

    1. If, in the opinion of the Committee, the conduct of any member of the Club is inappropriate, it may refer the matter to a sub-committee which shall comprise three members of the Committee.

    2. Prior to any hearing by the sub-committee, the member shall be informed of the nature of the alleged inappropriate conduct. The member may appear in person or make any written representations to the sub-committee which shall investigate the matter and determine whether any penalty shall be imposed.

    3. The sub-committee may censure or suspend membership for such period as it deems suitable or it may recommend the member to resign.

    4. If the member so recommended does not resign within one month of the date of the recommendation, the member shall be liable to expulsion by the Committee.

    5. If the determination of the sub-committee is not accepted by the member, the member may appeal to the Committee within one month thereof, by written notice to the Secretary. At the hearing of the appeal (at which those on the sub-committee shall not be present), the member may appear in person or be represented or make written representations to the Committee whose decision shall be final.

    6. Any member of the Club who returns to the College and seriously misbehaves may be reported to the Committee by the Master.

    7. Any person who ceases to be a member of the Club shall have no claim upon, or be entitled to participate in, any of the effects or property of the Club.

    8. Any member who resigns or who is expelled from the Club may apply to be re-admitted after such period as the Committee shall decide.

  8. The general management of the affairs of the Club, and its finances, and the election of Members, shall be entrusted to the discretion and be under the control of the General Committee (in these Rules referred to as ""the Committee"" to be constituted as hereinafter mentioned.

  9. The Committee shall consist of the following :

    1. The President, the immediate Past-President, the President-Elect, the Secretary and the Treasurer or Joint-Treasurers.

    2. The Trustees of the Club for the time being.

    3. Not more than 12 elected Members.

    In addition, the Committee shall have power to co-opt additional members of the Club. Any such member shall be appointed for a period of one year only, but may be again co-opted as often as the Committee think fit.

  10. The President, the President-Elect, the Treasurer or Joint-Treasurers shall be elected at the Annual General Meeting of the Club. Of the elected members of the Committee, four shall retire annually by rotation according to priority of election and their places shall be filled at the Annual General Meeting. In case there shall not be a sufficient number of candidates the Committee shall fill the vacancies. A member of the Committee who retires under this rule shall be disqualified from being an elected member of the Committee until one year has elapsed after his retirement.

  11. The Secretary shall be appointed and will continue in office upon such terms as may be agreed by him or her, the Bursar of Marlborough College and the Committee.

  12. The Committee shall hold at least four meetings annually (preferably quarterly) to transact the business of the Club. Nine members shall form a quorum.

  13. Fourteen day's notice of all Committee Meetings shall be sent to every member of the Committee.

  14. The Committee shall present a report upon the affairs of the Club for the past year at the Annual General Meeting. The report will be published in the Marlburian Club Magazine.

  15. The Committee may appoint sub-committees to exercise any of the functions of the Committee which the Committee consider would be better exercised by a sub-committee. Any sub-committee shall conform to the directions of the Committee at such intervals as the Committee shall direct. Any sub-committee may co-opt additional members from among the Members of the Club for such period as they may think fit.

  16. It shall be the duty of the Treasurers to receive and pay all monies on behalf of the Club and to prepare an annual account of the finances, which shall form part of the Annual Report and shall be audited by an Auditor nominated by the Committee and appointed at the Annual General Meeting. It shall be the duty of the Secretary to make and keep proper Minutes of all proceedings of the Club and of the Committee and to send out all notices required by these Rules. The Committee may appoint local Secretaries permanently or otherwise as and when thought necessary.

  17. In the case of a vacancy occurring among the Officers or among the Committee, any Members of the Club may be appointed by the Committee to fill up such vacancy till the next Annual General Meeting; and in the case of the temporary absence of one of the Officers the Committee may appoint one of its members to perform his duties for the time.

    1. The Marlburian Club Education Fund, the Marlburian Club College Fund and The Daubney Fund ("the Charities") are governed by a scheme approved by the Charity Commissioners and dated 5th September 1997 ("the Scheme"). Such Scheme provides that there shall be not less than three nor more than six Trustees of the Charities. It also provides for the appointment, duties and powers of such Trustees.

    2. The existing Trustees of the Charities are Sir Nicholas Goodison, John Manser, Robert Cottam, Richard Fleck and The Right Honourable Peter Brooke.

    3. Under the term of the Scheme, any new Trustees shall be appointed by the Committee of the Club. Such appointment shall be made at a special meeting of the Committee (being a meeting of which not less than twenty-one day's notice shall have been given).

  18. The Trustees appointed in accordance with the Scheme shall also hold and invest in their own name, or in the name of a nominee, all monies from time to time entrusted to them by the Committee for investment. Subject to any special directions of the Committee, the Trustees shall invest the said monies in such manner as they shall, in their absolute discretion, think fit.

  19. All monies belonging to the Club shall, unless invested in the names of the Trustees or their nominee, be held by the Treasurer who shall keep an account in the name of the Club at some bank as the Committee may from time to time appoint. The Committee shall from time to time decide what amount of the said monies shall be invested and the Treasurer will thereupon transfer such amount to the Trustees for investment.

  20. A Trustee or an Officer of the Club shall be answerable only for losses arising from his own defaults and not for involuntary acts or for acts or defaults of a co-Trustee or co-Trustees or of another Officer, nor shall any Trustee or Officer be liable for the neglect or default of any Solicitor, Banker, Valuer or other agent reasonably employed by the Trustee or Officer.

  21. The Committee shall have power to make and from time to time revoke or alter such bye-laws in relation to any games organised by the Club as they shall think fit. For each game there shall be a Secretary to be appointed by the Committee, whose duties shall be defined by the bye-laws relating to such game.

  22. There shall be paid out of the general revenue of the Club in every year, after making such reasonable provision for the general purposes of the Club as the Committee think fit, such sums for the purposes of games organised by the Club as the Committee may from time to time determine.

  23. The Annual General Meeting of the Club shall be held at Marlborough College on the day fixed for the Marlburian Club Day and notice thereof shall be despatched to all members not less than four weeks beforehand; provided that, if in the opinion of the Committee special circumstances render it impracticable to hold the Annual General Meeting at the time and place provided by this Rule, that meeting shall be held at such time and place as the Committee shall direct and notice thereof shall be given as provided by this Rule.

  24. At the Annual General Meeting, in addition to the elections prescribed by Rule 12, the Annual Report and Account of the finances of the Club shall be considered and any other business may be transacted of which notice has been received by the Secretary fourteen days at least before the date of the meeting or which the President permits to be brought forward.

  25. The President may at any time, and upon the written requisition of any twenty-five members of the Club, shall summon a General Meeting, notice whereof shall be despatched to all members not less than four weeks beforehand, specifying the Resolutions intended to be moved; and the business at such Meeting must be confined to such Resolutions.

  26. At all General Meetings, the chair shall be taken by the President, or in his absence by a Chairman chosen for the occasion, and forty members present shall form a quorum. In the event of the votes of the Meeting being equally divided on any question, the President or Chairman shall be entitled to a casting vote in addition to his own.

  27. An Annual Dinner of the Club, of which not less than four weeks notice shall be despatched to all members, shall be held at such time and place as may be fixed by the Committee.

  28. In any case of doubt as to the meaning or effect of any of these Rules the decision of the Committee shall be final.

  29. These Rules may be altered at a General meeting by Resolution in accordance with Rule 28 but not otherwise, and no such alteration shall be made unless the Resolution is supported by at least two-thirds of the Members present and voting thereon.
